Can SBA Finance a Business Acquisition and a Real Estate Purchase?
SBA 7(a) can finance eligible business acquisitions and real estate uses within its per-loan limit. SBA 504 focuses on qualifying fixed assets; buying the business and buying its premises need a clear, separate use-of-proceeds budget.
Key loan facts
- Loan Amount
- SBA 7(a): up to $5 million per loan. SBA 504: SBA/CDC portion up to $5 million, or $5.5 million for qualifying manufacturing and energy projects. Total project financing can be larger.
- Eligible properties
- Qualifying owner-occupied commercial real estate, Eligible business acquisitions under SBA 7(a), Eligible equipment and working capital under SBA 7(a), Eligible long-life equipment under SBA 504
- Minimum FICO
- Owner-occupied commercial real estate eligibility requirements apply. RPC's public minimum FICO is 680; this is RPC's guideline, not a universal SBA credit-score rule. Business repayment capacity and SBA eligibility are reviewed individually; no common SBA DSCR floor is published here.
How should you separate the business price from the property price?
Break the request into real estate, business ownership, equipment and operating needs. Identify what is included in the acquisition agreement and what is financed separately. A property appraisal does not establish the value of the operating business, and a business purchase price should not be treated as collateral value for the premises.
Where it fits
The 7(a) per-loan maximum is $5 million. A qualifying 504 project can involve more total project financing than its SBA/CDC portion. If a combined structure is considered, the eligible $10 million combined limit does not mean a single 7(a) loan can exceed its ceiling.
Illustrative example
Illustrative: acquiring a company that leases its site is primarily a business-acquisition question. Purchasing the company and its building adds a real estate component that needs its own valuation and owner-occupancy review. Present both components at the start rather than hiding property costs in the business price.
